These Terms and Conditions ("Terms") govern your use of the services provided by DOCSBASE LTD ("we," "our," or "us"). By engaging our services, you agree to be bound by these Terms.
Definitions
- "Services" refers to all printing, photocopying, document duplication, and related services provided by DOCSBASE LTD
- "Client" or "You" refers to the individual or entity engaging our services
- "Materials" refers to any documents, files, or content provided by the client for printing or processing
Service Agreement
By placing an order with DOCSBASE LTD, you enter into a contract with us. All orders are subject to acceptance by us, and we reserve the right to refuse any order at our discretion.
Pricing and Payment
Quotations
All quotations are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change without notice until an order is confirmed.
Payment Terms
Payment terms are as follows:
- New clients may be required to pay in advance or provide a deposit
- Established clients may be offered credit terms, subject to credit approval
- Payment is due within 30 days of invoice date, unless otherwise agreed
- Late payment may incur interest charges at a rate of 8% per annum above the Bank of England base rate
Client Obligations
The client agrees to:
- Provide accurate and complete information when placing orders
- Ensure all materials provided are legal and do not infringe on any third-party rights
- Review and approve proofs when provided before final production
- Make timely payments as agreed
Intellectual Property
All intellectual property rights in materials provided by the client remain with the client. The client warrants that they have the right to use and reproduce all materials provided to us.
We retain all rights to our own designs, processes, and proprietary information.
Quality and Acceptance
We strive to deliver high-quality work in accordance with industry standards. Clients should inspect work upon delivery and notify us of any defects within 7 days of receipt. We will remedy any genuine defects at no additional cost.
Once work is accepted by the client, either explicitly or by failure to notify us of defects within the specified time, the work is deemed accepted.
Delivery and Risk
Delivery dates are estimates only and are not guaranteed. While we endeavor to meet agreed delivery dates, we are not liable for delays caused by circumstances beyond our reasonable control.
Risk in completed work passes to the client upon delivery. We recommend clients arrange appropriate insurance for valuable materials.
Cancellation and Amendments
Orders may be cancelled by the client, subject to the following:
- Cancellation before work begins: No charge, subject to any costs already incurred
- Cancellation after work begins: Client is liable for all work completed and costs incurred
- Amendments to orders may incur additional charges
Liability
Our liability is limited as follows:
- We are not liable for any indirect or consequential losses
- Our total liability for any claim shall not exceed the value of the specific order in question
- We are not responsible for errors resulting from inaccurate information provided by the client
- We are not liable for loss or damage to client materials beyond the cost of replacing blank materials of equivalent quality
Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or equipment failure.
Data Protection
We process personal data in accordance with UK GDPR and our Privacy Policy. By engaging our services, you consent to our processing of your personal data as described in our Privacy Policy.
Confidentiality
We treat all client materials and information as confidential. We will not disclose client information to third parties except as necessary to provide services or as required by law.
Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
